General Procedures for Starting Business in Japan

The following diagram depicts the sequence of procedures that are typically completed in order to establish and register the establishment of a new business in Japan (subsidiary company or branch office) represented by a foreign national, along with the procedures for acquisition of Investor/Business manager visa as well as other required procedures.

To Taxation Authorities

The following documents must be filed with the taxation authorities responsible for the area where the head office of your corporation in Japan is located

  • a) Notification of Incorporation of a Company This notification is to be filed within 2 months from the date of incorporation.
  • b) Notification of Establishment of an Office Paying Salaries This notification is to be filed within 1 month from the opening of the office.
  • c) Application for Blue Form Return

This application is to be filed within 3 months from the incorporation and on or prior to the last day of the financial year in which the date of incorporation falls.

 

To the Office of the Local and Prefectural Government in Charge of Tax Matters

Notification of the Incorporation of a Company or Report for the Commencement of Business must be filed within 15 days (if your company is located in Tokyo) or 1 month (if your company is located in other than Tokyo).

 

To the respective authorities if your business requires license or registration

Examples

  • a) Used Product Dealers License from Police Office
  • b) Sales Agents for Financial Instruments Firm Registration at Financial Service Agency
  • c) Real Property Agents Prefectural Government
  • d) Sales of Health Foods, Cosmetics and Medical Instruments Public Health Center
  • e) Headhunting, Recruiting Services Labor Bureau

 

To the Labor Standards Inspection Office

When a company employs an employee, such employee is automatically put under the labor insurance. The following documents must be filed to the Labor Standards Inspection Office within 10 days from the date of employment.

  • a) Notification of Applicable Business
  • b) Notification of the Establishment of a Labor Insurance Relationship
  • c) Work rules, if a company employs ten or more employees

 

To Public Employment Security Office

When a company employs one or more employee, an employer must file the following documents to the local public employment security office and complete the necessary employment insurance procedures within 10 days from the date of employment

  • a) Notification of Creation of Business Establishment Covered by Employment Insurance
  • b) Notification of Acquisition of Insured Status under Employment Insurance
  • c) Certified copy of commercial registration
  • d) List of employees

 

To Social Insurance Office

Companies covered by social insurance must file the following documents and complete the necessary procedures at their local social insurance office to enroll in the health insurance and employees’ pension insurance plans.

  • a) Notification of New Coverage under Health Insurance/Employee’s Pension Insurance
  • b) Report on the Current Circumstances of a New Applicable Business Office
  • c) Notification of Acquisition of Insured Status under Health Insurance/Employees’ Pension Insurance
  • d) Notification of Health Insurance Dependents
  • e) Certified copy of commercial registration
  • f) Payroll
  • g) Attendance Register
